Account Termination

We reserve the right to suspend or terminate your account at our discretion, without prior notice, if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

• Noosh AI offers an annual subscription at $69.99/year
• 14-day free trial with full access to all features
• Subscriptions automatically renew unless canceled before renewal date
• Prices are subject to change with 30 days' notice

Billing

• Payment is processed through Apple App Store or Google Play Store
• Billing is handled by the respective platform's payment system
• You are responsible for all charges incurred under your account
• No refunds for partial subscription periods unless required by law

Cancellation and Refunds

• You may cancel your subscription at any time through app settings
• Cancellation takes effect at the end of the current billing period
• 30-day money-back guarantee for new subscribers
• Refund requests must be submitted within 30 days of initial purchase

5. Acceptable Use Policy

You agree not to:

• Violate any laws, regulations, or third-party rights
• Use the Services for any unlawful or fraudulent purpose
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any part of the Services
• Use automated systems (bots, scrapers) to access the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Transmit viruses, malware, or other harmful code
• Impersonate others or misrepresent your affiliation
• Collect or harvest personal information of other users

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and AI algorithms, are owned by Noosh AI and protected by copyright, trademark, and other intellectual property laws.

Your Rights

You retain ownership of all data you submit to the Services (supplement information, health data, AI chat messages). By using our Services, you grant us a limited license to use, store, and process your data solely to provide and improve the Services.

License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms.

7. Disclaimer of Medical Advice

• AI-generated insights are for informational and educational purposes only
• Always consult qualified healthcare professionals before making health decisions
• Do not disregard or delay seeking medical advice based on information from our Services
• In case of medical emergency, call emergency services immediately
• We do not provide medical diagnoses, prescriptions, or treatment recommendations

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Services will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy, reliability, or completeness of content or AI-generated insights
• Warranties that defects will be corrected

We do not guarantee that the Services will meet your requirements or that results will be satisfactory. Use of the Services is at your sole risk.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NOOSH AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Personal injury or property damage resulting from use of the Services
• Unauthorized access to or alteration of your data
• Statements or conduct of third parties using the Services
• Any other matter relating to the Services

Our total liability to you for all claims arising from use of the Services shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 (whichever is greater).

You agree to indemnify, defend, and hold harmless Noosh AI, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any rights of third parties
• Your violation of applicable laws or regulations
• Content you submit to the Services

11. Third-Party Services

Our Services may integrate with or contain links to third-party services, including:

• OpenAI (AI chat processing)
• Apple App Store and Google Play Store (payments)
• RevenueCat (subscription management)
• AWS (cloud hosting)

We are not responsible for the content, privacy policies, or practices of third-party services. Your use of third-party services is at your own risk and subject to their terms and conditions.

12. Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us at legal@noosh.ai to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 60 days.

Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Delaware, USA.

Class Action Waiver

You agree that disputes will be resolved on an individual basis only, and you waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for resolution of any disputes not subject to arbitration.

14. Modifications to Services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Noosh AI regarding use of the Services and supersede all prior agreements, understandings, and communications.
